5.4 Conclusion

Exploring the telescope perspectives of corporate governance in banking organizations, the present chapter reviews the paradigm discourses. Based on the study on different models in generic corporate governance, the chapter explores and develops the new paradigm analysis on corporate governance arrangement in banking organizations, which summarizes dominant orientations prevalent in various models of bank governance across countries, namely the refined shareholder primacy theory, the more inclusive stakeholder theory, and the hybrid state-affected theory. These guiding discourses, at the paradigmatic level, are found to be closed connected with, shaped by, and represent as well the legitimacy discourses with regard to the role of bank in the economy, the function of financial regulation, and the influence of the judicial system in varied institutional settings such as LME, CME, and SME. This context provides a solid ground for study on the specific paradigm discourses in corporate governance system in banking organizations in Chinese institutions and a sound basis on analyzing varied specific governance practices, the frame, in the upcoming chapters.
