Red Flags in Deal Negotiation

In general, discussions between angels and entrepreneurs tend to be relatively smooth, but there are a few things to watch out for, so keep your eyes open.

If you get the feeling that there is anything less than 100 percent honesty coming from the person across the table, politely finish the conversation, walk away, and don't look back.

While it's not uncommon for entrepreneurs to resist the idea of stepping down as CEO at some point in the future, if you find yourself faced with a founder who makes his most important stand on maintaining absolute control in perpetuity, I suggest you think hard about whether you are comfortable leaving yourself in the hands of this entrepreneur, regardless of the economics.

If you receive any push back on the subject of reporting, board meetings, or access to company information, the cause may be innocent, but you should redouble your diligence to find out what is causing this reluctance.
