Target companies are almost always controlled by a large number of institutional and individual shareholders. Most shareholders have a very short-term perspective, so they could easily be enticed to sell out by the 20% premium over the current market price. Also, the board of directors has a fiduciary duty to do what is in the best economic interests of the shareholders, and in these situations it is very hard for them to say no, especially if the offer is substantially above the Target company’s average share price for the last thirty days.
