PRIVATE OFFERINGS

A private offering, or private placement, is one in which there is no public advertising. You don’t announce at a public event that you’re raising money. You don’t post about your offering on social media. You don’t invite a bunch of people to a workshop or webinar where you ask them to invest. The only way you communicate with potential investors is privately, which means one-on-one via telephone or in person or possibly by e-mail. (E-mail is not ideal because it can be so easily forwarded to others and become more like a mass communication.)

Private offerings can be challenging because you have to identify specific potential investors and reach out to them one-on-one. Some entrepreneurs may say “I don’t know any investors!” and assume that they cannot raise money using a private offering. However, if you are willing to talk to a lot of people and possibly end up with a larger number of smaller investors, you may find that a private offering can work for you.
