THE ANTI-BRIBERY PROVISION

The FCPA “prohibits offering to pay, paying, promising to pay, or authorizing the payment of money or anything of value to a foreign official in order to influence any act or decision of the foreign official in his or her official capacity or to secure any other improper advantage in order to obtain or retain business.”14 As with any complicated law, the details matter.

1.There must be an offer, promise, or authorization of payment, or payment itself, of anything of value.

The offer or payment can be made directly or indirectly. The item of value does not need to be given directly to the foreign official.15 Similarly, a bribe paid by a third party does not eliminate potential FCPA liability against the originating source.16
