Know the bylaws.

A secretary should have a copy of the bylaws handy at meetings. How many people make a quorum? What do the bylaws say about appointing a new board member in the middle of a term? How much notice do we have to give before the annual meeting? The secretary should be ready to answer.

Confirm the legal status of the nonprofit.

A secretary should be the one board member who wants to confirm every pesky detail. Do we still have our original 501(c)(3) letter? When is our business license due? When is our registration with the state due? It’s a small duty, and you can generally count on your executive director to take care of these questions. But it’s the board secretary who should make sure it has happened.
